1. Agreement & Acceptance

This Service Agreement (“Agreement”) explains the terms that apply when you browse our website, place an order, schedule catering, or otherwise interact with Cake Rules Everything Around Me, LLC (“we”, “us”, “our”).

By using our website, placing an order, or accepting our products or services, you confirm that you have read, understood, and agree to be bound by this Agreement and any policies referenced here (including our Privacy Policy and Shipping & Refund terms, if applicable).

If you do not agree, please do not use our website or services. You must be at least 18 years old, or the age of majority in your jurisdiction, to place orders or enter into this Agreement.

2. Use of Our Website & Services

You may use our website and services only for lawful purposes and in accordance with this Agreement. You agree not to:

• Use our website in any way that violates applicable laws or regulations.
• Attempt to interfere with the security or proper functioning of the website.
• Use automated tools to scrape or harvest content without our prior written consent.
• Impersonate any person or entity, or misrepresent your affiliation with us.

We reserve the right to refuse service, cancel orders, limit quantities, or block access to the website if we believe a user is violating this Agreement or acting in a way that may harm our business, employees, or customers.

3. Orders, Pricing & Payment

Product availability, descriptions, and prices are subject to change at any time without notice. We strive to display our baked goods and prices accurately, but occasional errors may occur.

When you place an order (in-store, over the phone, or online), it is an offer to purchase products or services. We may accept or decline your order at our sole discretion, including after payment authorization, if:

• The product is unavailable or out of stock;
• There is a pricing, description, or technical error;
• We suspect fraud or misuse.

Payment is typically due at the time of order placement, unless otherwise agreed in writing (for example, certain catering contracts). We may use third-party payment processors; by using them, you also agree to their terms and privacy practices.

4. Custom Orders, Cakes & Catering

For custom cakes, specialty desserts, and catering services, additional terms may apply, including:

• Design approvals, tasting appointments, and written confirmations;
• Order cut-off times and minimum notice requirements;
• Non-refundable deposits to secure your date and design;
• Change, reschedule, and cancellation deadlines.

We do our best to match agreed-upon designs and colors, but reasonable variations may occur due to ingredients, baking conditions, and artistic interpretation. Photographs or inspiration images are used as reference and may not be replicated perfectly.

5. Pickup, Delivery & Risk of Loss

You are responsible for providing accurate pickup or delivery information and ensuring that someone is available to receive the order at the agreed time.

Risk of loss and damage passes to you when:

• You or your representative pick up the order from our location; or
• Delivery is made to the address and person you have designated.

Once a cake or other product leaves our care in good condition, we are not responsible for damage caused by transportation, handling, storage, heat, or improper setup.

6. Allergens, Dietary Needs & Food Safety

Our bakery uses common allergens such as wheat, gluten, dairy, eggs, soy, nuts, and other ingredients. While we may offer products that do not intentionally contain certain allergens, our kitchen is not allergen-free.

We cannot guarantee the complete absence of cross-contact. If you or your guests have serious allergies or medical conditions, you are responsible for assessing whether our products are suitable and for communicating appropriate warnings to anyone consuming them.

By purchasing and serving our products, you agree that you understand these limitations and assume responsibility for how and to whom our products are served.

7. Changes, Cancellations & Refunds

Because our products are made-to-order and highly perishable, our ability to change or cancel orders may be limited. Any specific refund, reschedule, or cancellation policies described on your invoice, order confirmation, or our website will apply in addition to this Agreement.

In general:

• Custom cakes & catering: Changes may be subject to deadlines, additional charges, or may not be possible if production has already started.
• Deposits: Non-refundable deposits will not be returned if you cancel after the agreed deadline, except where required by law.
• Quality concerns: If you believe there is a quality issue, you must contact us promptly and provide reasonable evidence (photos, remaining product, order details).

Any refunds or credits are provided at our discretion and in accordance with applicable law.

8. User Content & Reviews

If you submit reviews, photos, comments, or other content related to our bakery (“User Content”), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and adapt that content for marketing, social media, and internal business purposes, in any media now known or later developed.

You represent that you have the right to grant this license and that your User Content:

• Does not infringe any third-party rights (including copyright or trademark);
• Is not defamatory, hateful, or unlawful;
• Does not contain malicious code or harmful links.

We may remove or decline to display User Content at our discretion.

9. Intellectual Property

Our website, logos, product names, cake designs, images, text, and other content (“Bakery IP”) are owned by Cake Rules Everything Around Me, LLC or used with permission. Except as explicitly allowed in this Agreement, you may not copy, reproduce, distribute, modify, or create derivative works from our Bakery IP without our prior written consent.

Any unauthorized use of Bakery IP may violate intellectual property laws and this Agreement.

10. Disclaimers & Limitation of Liability

To the fullest extent permitted by law, our website and services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our website, products, or services, even if we have been advised of the possibility of such damages.

In any case, our total liability for any claim arising under this Agreement will not exceed the amount you paid for the specific order or service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cake Rules Everything Around Me, LLC, and our owners, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of our website, products, or services;
• Your breach of this Agreement;
• Your violation of any law or third-party right.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to its conflict of law principles, except where another jurisdiction’s laws are mandatorily
applicable.

Any dispute arising out of or relating to this Agreement or our services will first be addressed through good-faith negotiations. If not resolved, disputes may be brought in the state or federal courts located in or serving Los Angeles County, California, and you consent to the jurisdiction and venue of those courts.

13. Changes to This Agreement

We may update this Service Agreement from time to time, for example to reflect changes in our products, services, or applicable laws. When we make material changes, we will update the “Last Updated” date at the top of this page and may provide additional notice where required by law.

Your continued use of our website or services after the updated Agreement is posted means you accept the revised terms.
